Welcome to TechAngels Association, with its registered office in Bucharest, District 2, 39-41 Nicolae Filipescu street, tax identification code 32132743 ("TechAngels", "we," "our," or "us"). These Terms of Service ("Terms") govern your use of the TechAngels website located at techangels.ro and our related services (the "Services").

1. Acceptance of terms

By registering as a member, creating an account, applying for funding, accessing, or using the Services, you confirm that you:

Have read and understood these Terms.
Agree to be bound by these Terms and our Privacy Policy.
Are at least 18 years old and have the legal capacity to enter into binding agreements.
Are not prohibited from using the Services under applicable laws.

If you do not agree to these Terms, you may not use the Services.

2. Description of service

TechAngels is an investment facilitation platform that connects startups with angel investors. Our activities include matchmaking between startups and potential investors, profile and pitch management, communication and networking, investment tracking and documentation support, and educational resources and market insights.

Important disclaimer: TechAngels is not a licensed investment advisor, broker-dealer, or financial institution. We do not provide investment advice, and all investment decisions are made solely by users. We facilitate connections but do not guarantee investment outcomes or the accuracy of information provided by users.

3. User accounts and registration

To use certain features of the Services or to apply for membership, you must create an account or submit an application. You agree to provide accurate, current and complete registration information, maintain the security of your account credentials, promptly update your account information when it changes, accept responsibility for all activities under your account, and notify us immediately of any unauthorized use. You may not create accounts using automated means or create multiple accounts without our permission. We reserve the right to suspend or terminate accounts that violate these Terms.

4. User responsibilities and conduct

4.1 Prohibited activities

Providing false, misleading or fraudulent information about yourself, your company or investment opportunities.
Impersonating any person or entity or misrepresenting your affiliation.
Using the Services for illegal purposes or in violation of applicable laws.
Attempting to gain unauthorized access to our systems or other users' accounts.
Uploading malware, viruses or other harmful code.
Spamming, harassing or abusive behavior toward other users.
Scraping, harvesting or collecting user data without permission.
Reverse engineering, decompiling or otherwise attempting to derive source code or algorithms underlying the Services.

4.2 Investment-specific obligations

Comply with all applicable securities laws and regulations.
Verify your accredited investor status if required by law.
Conduct your own due diligence on investment opportunities.
Respect confidentiality agreements and non-disclosure obligations.
Report any suspected fraudulent or misleading investment solicitations.

4.3 Export control and sanctions compliance

By using the Services, you represent and warrant that you are not located in, established in, or a resident of any country subject to comprehensive U.S. or EU sanctions, and that you are not listed on any restricted party list.

5. Intellectual property rights

The Services, including all content, features, functionality, software and design, are owned by TechAngels or its partners and protected by copyright, trademark and other intellectual property laws. You may not reproduce, distribute, modify or create derivative works without our written permission.

You retain ownership of content you submit ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce and distribute it in connection with operating the Services and making it available to our members.

We respond to clear notices of copyright infringement consistent with the DMCA. Reports must describe the copyrighted work, the location of the infringing material, and include a statement under penalty of perjury that the use is not authorized.

6. Payment terms and billing

Access to certain features (e.g. membership) may require payment of fees. Fees are stated in the applicable currency, exclusive of taxes unless otherwise specified, and are non-refundable unless agreed otherwise in writing. Members authorize recurring payments at agreed intervals until the subscription is terminated; overdue fees carry termination of the membership. You are responsible for applicable taxes unless a valid exemption certificate is provided. Third-party platform fees may apply to envisaged investment transactions and are disclosed before any transaction by the lead investor; we are not responsible for investment performance, transaction fees or outcomes.

7. Disclaimer of warranties

THE SERVICES ARE PROVIDED ON AN "AS-IS," "WITH ALL FAULTS," AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF UPTIME, ACCURACY OR COMPLETENESS; MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE; THAT INVESTMENTS WILL BE SUCCESSFUL OR PROFITABLE; THAT USER OR STARTUP INFORMATION IS ACCURATE OR COMPLETE; OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS.

8. Limitation of liability

NEITHER PARTY WILL BE LIABLE FOR ANY SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL, PUNITIVE OR EXEMPLARY DAMAGES, LOSS OF PROFITS, REPUTATION, USE, REVENUE OR DATA. Our maximum aggregate liability is capped at the fees you paid in the 12 months before the claim arose. This limitation applies whether the claim arises from contract, tort or any other legal theory, except for acts of fraud or willful misconduct. If you cannot accept these limitations, do not use the Services.

9. Indemnification

You agree to defend, indemnify and hold harmless TechAngels, our affiliates, officers, directors, employees and agents from and against any claims, damages, losses, costs and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms or applicable laws, your User Content or investment activities, or any breach of your representations and warranties.

10. Termination

You may terminate your account at any time by contacting us at [email protected]; termination does not relieve you of obligations incurred before it. We may suspend or terminate your access immediately if you violate these Terms, or for suspected fraudulent or illegal activity, extended inactivity, technical or security reasons, or at our sole discretion. Upon termination your right to use the Services ceases immediately; we may delete your account and User Content, though some information may be retained as required by law or for legitimate business purposes.

11. Governing law and dispute resolution

These Terms are governed by the laws of Romania. Disputes are resolved by the competent Romanian courts in Bucharest; each party bears its own costs except where prohibited by law. Either party may seek injunctive relief for intellectual property infringement or breach of confidentiality.

12. Changes to terms

We may update these Terms from time to time, with notice of material changes posted on this page and emailed to registered users. Continued use after changes take effect constitutes acceptance.

13. Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and TechAngels regarding the Services. If any provision is found invalid, the remainder continues in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets.
